1. Overview

1.1 This Refund Policy explains when and how Aletheos issues refunds for subscription purchases. It applies to all customers, both consumer and business, unless a separate written agreement states otherwise.

1.2 This Policy is incorporated into and should be read together with the Terms of Sale and the Subscription Agreement.

1.3 Nothing in this Policy limits any rights you may have under the Ontario Consumer Protection Act, 2002 ("CPA") or other applicable Canadian consumer protection law. If there is a conflict between this Policy and your statutory rights, your statutory rights prevail.


2. Ontario Statutory Cooling-Off Period

2.1 If you are an Ontario consumer purchasing a subscription through an internet agreement, you have the right under the CPA to cancel the agreement within 10 days of the later of: (a) the date you received a written copy of the agreement; or (b) the date the service became available to you.

2.2 No reason is required to exercise this right. You will receive a full refund of all amounts paid within 15 days of us receiving your cancellation notice.

2.3 To exercise this right, send written notice to legal@aletheos.tech with the subject line "Cooling-Off Cancellation."

2.4 This right applies to individual consumers only. Business customers are not entitled to the statutory cooling-off period.


3. Monthly Subscriptions

3.1 No Partial-Month Refunds. Monthly subscription fees are charged at the start of each billing period and are generally non-refundable for the current billing period once access has been provided, except: (a) Within the 10-day cooling-off period described in section 2; or (b) At our sole discretion in exceptional circumstances (e.g., extended service outage).

3.2 Cancellation Effect. Cancellation of a monthly subscription takes effect at the end of the current billing period. You retain access to the Services until that date.

3.3 Service Outages. If the Services are materially unavailable for more than 72 consecutive hours due to a fault on our part, you may request a pro-rata credit or refund for the affected period by emailing support@aletheos.tech within 30 days of the outage.


4. Annual Subscriptions — Clawback Refund Rule

4.1 Annual Discount Earned on Completion. The annual subscription price reflects a discount compared to paying month-to-month for 12 months. That discount is earned in full only upon completion of the 12-month subscription term.

4.2 Early Cancellation — Clawback Formula. If you cancel an annual subscription before the end of the 12-month term, your refund is calculated as follows:

Refund = Amount Paid − (Months Used × Undiscounted Monthly Rate)

Where: - Amount Paid = the total annual subscription amount you paid (in your billing currency) - Months Used = the number of complete or partial calendar months during which you had access to the Services, from the subscription start date to the cancellation date (partial months count as full months) - Undiscounted Monthly Rate = the standard monthly rate for your plan tier at the time of subscription, as published at [https://aletheos.tech/pricing]

4.3 If the Result is Zero or Negative. If the formula produces a result of zero or less, no refund is issued. You will not be charged any additional amount beyond what you already paid.

4.4 Worked Examples.

Example A — Partial refund: - Annual plan paid: CAD $199.99 - Undiscounted monthly rate: CAD $29.99 - Months used: 4 - Calculation: $199.99 − (4 × $29.99) = $199.99 − $119.96 = $80.03 refund

Example B — No refund: - Annual plan paid: CAD $199.99 - Undiscounted monthly rate: CAD $29.99 - Months used: 8 - Calculation: $199.99 − (8 × $29.99) = $199.99 − $239.92 = −$39.93 → No refund. No additional charge.

Example C — Borderline (cooling-off): - Annual plan paid: CAD $199.99 - Cancellation within 10-day cooling-off period (section 2) - Full refund: $199.99 (cooling-off right overrides the clawback formula)

4.5 Clawback Applies Regardless of Usage Level. The clawback formula applies based on time elapsed, not on the volume of features you used during the subscription period.

4.6 Currency. Refunds are issued in the same currency in which the original payment was made (CAD or USD as applicable).


5. Enterprise and B2B Customers

5.1 Enterprise customers with custom pricing agreements may have separate refund terms specified in their order form or master services agreement. Where those terms differ from this Policy, the custom agreement controls.

5.2 In the absence of a separate written agreement, this Policy applies to all business customers.


6. How to Request a Refund

6.1 To request a refund, email support@aletheos.tech with: (a) Your full name and account email address; (b) Your subscription ID or Stripe payment reference; (c) The date of purchase; (d) The reason for your refund request.

6.2 We will acknowledge your request within 2 business days and issue a decision within 10 business days.

6.3 Approved refunds are returned to your original payment method via Stripe. Processing time depends on your card issuer but is typically 5–10 business days after we initiate the refund.


7. Non-Refundable Items

7.1 The following are not eligible for refund except as required by applicable law: (a) Add-on features or one-time purchases, unless defective; (b) Custom enterprise integrations once delivered; (c) Subscriptions cancelled after the cooling-off period has expired and where the clawback formula yields $0 or less.


8. Chargebacks

8.1 If you initiate a chargeback or payment dispute with your credit card issuer without first contacting us, we reserve the right to suspend your account pending resolution. We encourage you to contact us first — we resolve most refund requests without involving your card issuer.


9. Changes to This Policy

9.1 We may update this Refund Policy from time to time. We will post updated versions at [https://aletheos.tech/legal/refund-policy] and, for material changes, notify you by email at least 30 days before the change takes effect.

9.2 Changes do not apply retroactively to subscriptions already in effect at the time of the change.


10. Governing Law and Disputes

10.1 Governing Law: This Policy is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

10.2 Disputes: Any dispute arising out of or related to this Policy shall be submitted to the courts of the Province of Ontario, Canada.

10.3 Regulatory Complaints: You may also file a complaint with the Ministry of Public and Business Service Delivery (Ontario) or the Office of Consumer Affairs (Canada) if you believe your consumer rights have not been respected.
