1. Introduction and Scope

1.1 These Terms of Sale ("Terms") govern the purchase and use of subscriptions, products, and services ("Services") offered by Aletheos ("we", "us", "our") to individual consumers and business customers ("you", "Customer").

1.2 These Terms are supplemented by and should be read together with our: - Refund Policy - Subscription Agreement - Acceptable Use Policy - Cookie Policy - [Privacy Policy] (link to be inserted)

1.3 By completing a purchase or activating a subscription, you confirm that you have read, understood, and agree to these Terms.

1.4 If you are purchasing on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Services and Pricing

3.1 Service Description. Aletheos is a privacy intelligence SaaS platform. Services include, but are not limited to: scanning AI models and data broker databases for personal information ("PII"), submitting GDPR and CCPA erasure requests on your behalf, dark web monitoring, data loss prevention ("DLP"), and enterprise open-source intelligence ("OSINT") tooling.

3.2 Subscription Plans. Aletheos offers the following plan tiers (prices shown in applicable currency as described in section 3.5):

Specific plan features and current pricing are listed at [https://aletheos.tech/pricing] at time of purchase. Plan features may be updated in accordance with section 7.

3.3 Total Price Disclosure. Before you complete any purchase, we will display: (a) the price per billing period; (b) the total amount charged for your first billing period; (c) the applicable tax amount (see section 3.6); (d) that your subscription will renew automatically unless cancelled (see Subscription Agreement).

3.4 Recurring Charges. Your subscription will be charged to your payment method on a recurring basis (monthly or annual, as selected). This is a recurring charge and will continue until you cancel. See the Subscription Agreement for renewal notice requirements.

3.5 Currency. Pricing is displayed and charged in Canadian Dollars (CAD) for customers whose billing address or detected IP address is located in Canada, and in United States Dollars (USD) for all other customers. Currency is determined at checkout and will be confirmed before payment.

3.6 Taxes — HST. Aletheos is currently below the $30,000 CAD small supplier revenue threshold under the Excise Tax Act (Canada) and therefore does not currently collect Goods and Services Tax / Harmonized Sales Tax ("GST/HST"). Once Aletheos meets or anticipates exceeding the threshold, we will register for an HST number and begin collecting Ontario HST at the rate of 13% on applicable supplies. We will provide at least 30 days' notice before HST collection begins. Quebec Sales Tax and other provincial taxes are not currently collected.


4. Payment

4.1 Accepted Payment Methods. Payments are processed through Stripe, Inc. We accept major credit cards and such other payment methods as Stripe makes available at checkout.

4.2 Billing Authorization. By providing payment information, you authorize Aletheos (via Stripe) to charge your payment method for all amounts due under your subscription, including renewals, in accordance with these Terms and the Subscription Agreement.

4.3 Failed Payments. If a payment fails, we will attempt to re-process the charge. Access to the Services may be suspended after 7 days of non-payment. You remain liable for all amounts due during any suspension period.

4.4 Billing Disputes. If you believe a charge is incorrect, contact legal@aletheos.tech within 30 days of the charge date. We will investigate and respond within 15 business days.


5. Cancellation and Cooling-Off Rights

5.1 Monthly Subscriptions — Cancellation. You may cancel a monthly subscription at any time through your account settings or by contacting support@aletheos.tech. Cancellation takes effect at the end of the current billing period. No refund is issued for the partial month already paid unless required under section 5.3.

5.2 Annual Subscriptions — Cancellation and Clawback. (a) You may cancel an annual subscription at any time. (b) If you cancel before the end of the 12-month term, the annual discount is forfeited. (c) Clawback Refund Formula: Refund = Amount paid − (Months used × undiscounted monthly rate for your plan) (d) If the result of the formula in (c) is zero or negative, no refund is issued. (e) "Months used" means each full or partial calendar month during which you had access to the Services. (f) Example: If you pay $199.99 for an annual plan and cancel after 5 months, and the undiscounted monthly rate is $29.99, the calculation is: $199.99 − (5 × $29.99) = $199.99 − $149.95 = $50.04 refund. If you used 7 months: $199.99 − (7 × $29.99) = $199.99 − $209.93 = −$9.94 → no refund.

5.3 Ontario Consumer 10-Day Cooling-Off Period. Under the Ontario Consumer Protection Act, 2002 ("CPA"), consumers who purchase certain internet agreements have the right to cancel within 10 days of receiving a copy of this agreement and receiving confirmation that the service is available, without penalty and with a full refund. If you are an Ontario consumer, you may exercise this right by providing written notice to legal@aletheos.tech. We will process your refund within 15 days of receiving your cancellation notice. This right applies to consumer purchases only; business customers are not entitled to the statutory cooling-off period under the CPA.

5.4 How to Cancel. You may cancel by: (a) Using the cancellation feature in your account dashboard; or (b) Emailing support@aletheos.tech with your account email and subscription ID.

We will acknowledge cancellation within 2 business days.


6. Refunds

6.1 Refund terms are set out in full in the Refund Policy, which is incorporated into these Terms by reference.

6.2 Summary: Monthly subscriptions are generally non-refundable after the billing period commences, except under the 10-day cooling-off right or at our discretion. Annual subscriptions are subject to the clawback formula in section 5.2.

6.3 Statutory Rights Not Affected. Nothing in these Terms limits your rights under the Ontario CPA, the federal Competition Act, or any other applicable consumer protection legislation.


7. Changes to Services and Pricing

7.1 We may change the features included in a plan, introduce new plans, or retire existing plans. Where a change materially reduces the features of your current plan, we will provide at least 30 days' written notice and you may cancel without penalty during that notice period.

7.2 Price changes are governed by the Subscription Agreement, which requires advance notice before any price increase applies to your subscription.


8. Data Residency and Cross-Border Transfer

8.1 Aletheos stores customer data with third-party cloud providers located in the United States, including Supabase (hosted on AWS US-East-2) and Railway. By purchasing and using the Services, you explicitly consent to the transfer and storage of your personal information in the United States.

8.2 While data is stored in the United States, Aletheos remains subject to PIPEDA (Personal Information Protection and Electronic Documents Act) and applicable Ontario privacy law with respect to that data.

9. Limitation of Liability

9.1 TO THE MAXIMUM EXTENT PERMITTED BY ONTARIO LAW, Aletheos's total liability to you for any claim arising under these Terms is limited to the amount you paid for the Services in the 12 months preceding the claim.

9.2 Aletheos is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption.

9.3 Nothing in this section limits Aletheos's liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded under applicable Ontario or Canadian law, including the CPA.


10. Warranties

10.1 We warrant that the Services will perform materially as described in our documentation. If the Services fail to materially conform to this warranty, your sole remedy is to request re-performance or a refund under section 6.

10.2 EXCEPT AS SET OUT IN SECTION 10.1, THE SERVICES ARE PROVIDED "AS IS" AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, TO THE EXTENT PERMITTED BY LAW.


11. Governing Law and Disputes

11.1 Governing Law: These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

11.2 Dispute Resolution: Any dispute arising out of or related to these Terms shall be submitted to the courts of the Province of Ontario, Canada. You agree to attorn to the exclusive jurisdiction of such courts.

11.3 No Mandatory Arbitration: We do not require you to submit to binding arbitration. Ontario court proceedings remain available to consumers as required under the CPA.

11.4 Regulatory Complaints: Nothing in these Terms limits your right to file a complaint with the Office of the Privacy Commissioner of Canada, the Information and Privacy Commissioner of Ontario, or any other applicable regulatory body.


12. General

12.1 Entire Agreement. These Terms, together with the documents referenced herein, constitute the entire agreement between you and Aletheos with respect to the sale of Services.

12.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

12.3 Waiver. Failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

12.4 Language. These Terms are written in English. [LAWYER NOTE: If offering services to Quebec customers, a French version may be required under the Charter of the French Language (Bill 96).]

12.5 Updates. We will post updated Terms at [https://aletheos.tech/legal/terms-of-sale] and notify subscribers by email at least 30 days before material changes take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

13. Quebec Customers — Bill 96 Notice

Aletheos serves customers in the Province of Quebec. Under Quebec's Charter of the French language (as amended by Bill 96, 2022), contracts of adhesion and consumer-facing documents must be made available in French on request. A French-language version of this Terms of Sale will be provided upon request to legal@aletheos.tech. Where both versions are provided, the French-language version controls for Quebec customers unless the customer has expressly waived that preference in writing.
